Terms of Service
Last updated 27 September 2026. By buying or using Phoenix Upscaler, Phoenix Cloud Studio or Phoenix Motion (“the products”), you agree to these terms with Phoenix Labs (“we”, “us”).
Desktop licence
The desktop app is sold as a one-time purchase for a perpetual licence, including future updates, activatable on up to three computers you own or control at a time. The licence is for your own use; you may not resell, redistribute, or share your licence key. We grant you a non-exclusive, non-transferable right to use the software; we retain all intellectual-property rights in it.
Cloud studio
The cloud studio is a pay-per-job service. You can pay for each job separately at the price shown before you pay, or from your Phoenix balance (see below). There is no subscription. You must have the right to upload and process any file you submit, and you must not submit unlawful content or content you do not own or have permission to use.
Phoenix Motion
Phoenix Motion makes short videos from images you upload. You pay for clips from a prepaid balance held in US dollars. Each clip costs the price shown before you make it, taken from your balance when the clip starts and returned in full if it fails or is refused. The balance doesn’t expire and is not a currency or credit: it can only be spent on Phoenix Motion clips and cloud studio restores, at their listed prices, and unused balance can be refunded to your original payment method on request.
Your balance is tied to a private wallet key rather than an account. Anyone with the key can spend the balance, so keep it private; we can’t restore a balance whose key and receipts are both lost.
Paying with USDC
You can add to your balance with USDC on the Base network, from the Phoenix Motion app or through the API. These payments are made directly to Phoenix Labs, not through Lemon Squeezy, and are credited at 1 USDC to US$1 once we have confirmed the transfer on the network. Blockchain transfers can’t be reversed, so check the amount before you approve one. Unused balance you added in USDC can be refunded in USDC to the address it came from. Balance added by card is only ever refunded to that card: we don’t exchange, sell or pay out cryptocurrency, and a balance can’t be used to turn one into the other. You are responsible for your own wallet and its keys.
Agent keys and the API
You can make agent keys that let software, including AI assistants, use our API and MCP server to spend your balance, up to a limit you set for each key. Anything done with one of your keys is done on your behalf, and you are responsible for it as if you had done it yourself, up to that key’s limit. Keep agent keys private, and revoke any you no longer trust: a revoked key stops working at once. The same rules apply to everything made through the API as through the website. We may limit or suspend keys used to abuse the service.
You must have the right to use any image you upload. Phoenix Motion won’t make sexual or nude content, anything sexual or suggestive involving a minor, or anything unlawful, and prompts or images that ask for these are refused. You are responsible for how you use the clips you make, including not using them to deceive people about real events or to impersonate someone. As between you and us, the clips you make are yours to use, including commercially. Clips are marked as AI-generated in their file metadata. We may pause a balance that repeatedly requests refused content.
Rules that come with the model
Phoenix Motion runs LTX-2.5, a video model from Lightricks. Its licence requires everyone who uses it through us to follow its use restrictions, so these are part of your agreement with us too. You must not use Phoenix Motion or the clips it makes:
- in any way that breaks the law;
- to exploit or harm minors in any way;
- to knowingly create or spread false information meant to deceive, defraud or unlawfully harm others;
- to create or spread personal information that can be used to harm someone;
- to publish clips in any context without clearly saying they are machine-generated;
- to defame, harass, abuse, threaten or bully anyone;
- to impersonate anyone without their consent, including deepfakes;
- for fully automated decisions that harm someone's legal rights or create binding obligations;
- to discriminate against or harm people based on their behaviour, personal characteristics or legally protected characteristics, including in employment, credit, housing or other essential services;
- to exploit people's vulnerabilities because of their age or social, physical or mental circumstances;
- to give medical advice or interpret medical results;
- for law enforcement, justice, immigration or asylum decisions, such as predicting who will commit a crime;
- to create malware or anything meant to harm computer systems;
- for military, weapons, nuclear or other uses that may cause death, injury or serious damage;
- to train, improve or fine-tune other AI models;
- to get around any safety feature, content filter, watermark or provenance marking.
Lightricks' acceptable use policy also applies. The full restrictions are in Attachment A of the LTX-2.x Community License.
Payments and tax
All purchases are sold and fulfilled by Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles the transaction, invoicing, and any applicable taxes, and its terms also apply to the sale.
Acceptable use
Don’t use the products to break the law, infringe others’ rights, or attempt to disrupt, reverse-engineer for redistribution, or resell the service. We may suspend access that violates these terms.
No warranty
Restoration is a best-effort enhancement, not a guarantee of any particular result: detail a source never recorded cannot be recovered. Generated clips vary from take to take and may not match what you pictured. The products are provided “as is,” without warranties of any kind to the extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, our total liability arising from the products is limited to the amount you paid for the purchase in question. We are not liable for indirect or consequential losses, or for loss of data you did not keep a copy of.
Changes
We may update these terms; material changes will be posted here with a new date. Continued use after a change means you accept it.
